1. Introduction

• These Terms and Conditions ("Terms") govern your access to and use of the website operated by Sasvat Ltd. under its trading name, Biz-Datas ("Biz-Datas," "we," "us," or "our"). These Terms apply to all visitors, users, and others who access or use our website or engage with our services in any capacity.

• By accessing the Biz-Datas website ("Site"), you agree to be legally bound by these Terms and by our Privacy Policy. If you do not accept these Terms, you must refrain from using the Site and any services offered through it.
   

2. Services and Scope

• Biz-Datas provides digital marketing, business consultancy, branding, and IT solutions, including (but not limited to) marketing strategy, SEO/SEM, content development, campaign execution, analytics, market research, and digital transformation consulting.

• All services are tailored to the Client’s instructions and strategic goals. Biz-Datas does not guarantee specific outcomes, revenue growth, or commercial success.
   

3. Ownership and Rights to Publish

• All services delivered by Biz-Datas, including but not limited to visual designs, branding materials, strategy decks, campaign analytics, and web content, remain the intellectual property of Sasvat Ltd. until full payment is received.

• Upon payment, the Client receives a non-exclusive license for usage within the limits of their business operations. However, Biz-Datas retains the right to reproduce, publish, and showcase any part of the work in its portfolio, case studies, website, marketing material, social media, or awards submissions, unless explicitly agreed otherwise in writing by both parties.

• Any unauthorized reproduction, resale, or redistribution of our work without prior written consent constitutes a breach of the Copyright, Designs and Patents Act 1988.
   

4. Non-Dispute Clause

• The Client agrees not to engage in defamation, public disparagement, or initiate frivolous claims in relation to services provided by Biz-Datas. All disputes or dissatisfaction must be communicated privately and resolved via internal escalation, mediation, or arbitration before legal proceedings.

• Clients waive any rights to pursue damages for reputational or subjective dissatisfaction when services have been delivered in accordance with the agreed scope and commercial best practices.

• All claims shall be subject to evidence of contractual breach. Subjective preferences, non-material dissatisfaction, or external market failures are excluded from liability.
   

5. Booking and Payment Terms

• All bookings must be confirmed in writing and are binding upon receipt of invoice payment. Unless otherwise agreed, all services are prepaid. Milestone-based work will not proceed until the corresponding stage payment is received.

• Invoices must be settled within the time stated. Late payments may attract interest under the Late Payment of Commercial Debts (Interest) Act 1998 and result in project delays or termination.

• All booked services are non-refundable, as services are custom-developed and constitute intellectual output.
   

6. Cancellation and Termination

• Cancellations must be submitted in writing and acknowledged by Biz-Datas. Services already initiated are non-refundable. We reserve the right to terminate any engagement due to breach of contract, unlawful conduct, or persistent non-cooperation.

• In such cases, no refund shall be issued, and any unpaid balances will become immediately due.
   

7. Client Cooperation

The Client agrees to:

• Provide timely access to required information, personnel, and materials.

• Respond to communication promptly.

• Sign off on key milestones and documents as per project schedule.

Failure to cooperate may result in delays, which are not attributable to Biz-Datas.
 

8. Limitation of Liability

To the maximum extent permitted by law, Biz-Datas shall not be liable for:

• Loss of revenue, profits, goodwill, or anticipated savings.

• Business interruption or reputational damage.

• Claims arising from third-party systems or data provided by the Client.

Total liability shall be capped at the total fee paid for the specific project or service from which the claim arises.
 

9. Intellectual Property and Confidentiality

• All work remains confidential and the property of Biz-Datas until paid in full. Each party agrees to maintain confidentiality over commercially sensitive materials shared.

• Clients may not copy, share, publish, or distribute our proprietary frameworks, methods, or materials outside their organisation without prior written approval.
   

10. Data Protection and Privacy

• Biz-Datas collects and processes personal data under the UK General Data Protection Regulation (UK GDPR) and the Data Protection Act 2018. Full details are outlined in our Privacy Policy. Clients and users are deemed to have accepted these practices by using our services or submitting data through the Site.
   

11. Acceptable Use

Users must not use the Site to:

• Engage in illegal activity

• Upload viruses or malicious code

• Harvest data

• Violate copyright or proprietary rights

We reserve the right to block or report users acting in breach.
 

12. Amendments

• These Terms may be amended from time to time. It is the responsibility of the user to review them regularly. Continued use of the Site constitutes acceptance of the revised Terms.
   

13. Governing Law and Jurisdiction

• These Terms are governed by the laws of England and Wales. All disputes shall be resolved exclusively in the courts of England and Wales.

• Parties agree to explore mediation and commercial negotiation prior to legal claims.
